Samvardhana Motherson: Increases Stake in Shenzhen Autocruis Subsidiary to 67.93%

Samvardhana Motherson International Limited (Motherson) has announced an increase in its subsidiary SMR Langfang’s equity stake in Shenzhen Autocruis Technology Co., Ltd. (Target). Following a primary capital increase and a subsequent secondary purchase, SMR Langfang’s shareholding will rise to 67.93%. This move signifies a continued investment in the Target company’s growth and operational integration within the Motherson group.

Strategic Stake Increase in Shenzhen Autocruis

Samvardhana Motherson International Limited (Motherson) has disclosed a further enhancement of its investment in Shenzhen Autocruis Technology Co., Ltd. (Target), a company based in China. This development follows an initial disclosure on June 17, 2026, wherein Motherson’s indirect wholly-owned subsidiary, SMR Automotive (Langfang) Co., Ltd. (“SMR Langfang”), acquired a controlling stake through a primary capital increase.

Transaction Details and Ownership Growth

Initially, SMR Langfang acquired 64.76% of the Target’s equity via a primary capital increase of CNY 153.3 million (approximately USD 22.6 million). Subsequent to this, the Target company undertook a buy-back of its equity. Upon completion of this buy-back, SMR Langfang’s stake was set to increase to 67.78%. The latest announcement on August 17, 2026, details a Share Purchase Agreement (SPA) between SMR Langfang and RTVF Ventures Limited. Through this SPA, SMR Langfang acquired an additional 0.15% of the Target’s equity share capital for a consideration of CNY 3 million (approximately USD 440,000). This secondary purchase is subject to customary closing conditions.

Consolidated Shareholding

Upon the successful completion of this secondary acquisition, SMR Langfang’s total shareholding in Shenzhen Autocruis Technology Co., Ltd. will increase from the previously stated 67.78% to 67.93% of the equity share capital. This incremental acquisition underscores Motherson’s ongoing commitment to consolidating its ownership and strategic control over key subsidiaries.
