Rainbow Children’s Medicare Limited (RCML) has announced a significant capacity addition initiative with the proposed development of a new children’s and women’s hospital in Malad, Mumbai. This project, estimated to cost approximately ₹90 Crore, is being executed through its wholly owned subsidiary, Rainbow Women & Children’s Hospital Private Limited (RWCHPL).
Project Details and Investment
The expansion project is expected to result in an incremental capacity of 100 beds. The development of this brownfield hospital is slated for commissioning by Q1 FY27-28, subject to the necessary approvals and completion of construction activities. The total investment required for this project is approximately ₹90 Crore, with an estimated ₹68.40 Crore to be contributed by RCML.
Strategic Partnership and Equity Stake
As part of the transaction documents, Fountainhead TCHM Healthcare LLP (LLP) will be inducted into RWCHPL. The LLP will acquire a 24% equity stake in RWCHPL. This strategic partnership aims to jointly develop and operate the new hospital. Following the transaction, RWCHPL will remain a subsidiary of RCML, with RCML holding a 76% equity share capital and retaining control.
Rationale and Future Outlook
This expansion is projected to further enhance RCML’s ability to deliver specialized pediatric, women, and neonatal care across Maharashtra. It complements the company’s previously announced 150-bed regional hub in Pune, expected to commence operations in FY29. Together, these facilities are intended to establish a strong regional hub-and-spoke network, expanding RCML’s presence in Western India and improving patient access. The company is currently operating with an existing capacity of 2,435 beds, with a utilization rate of 46.3%.
Financial and Shareholding Changes
The proposed restructuring will see RCML dilute a 24% stake in RWCHPL, which will be transferred to Fountainhead TCHM Healthcare LLP. The net worth contribution of RWCHPL as of March 31, 2026, was reported as ₹(0.003) Crore. The consideration received from the transfer of equity is stated as ₹24,000. Post the transaction, RCML will hold 7,600 shares (76%) and Fountainhead TCHM Healthcare LLP will hold 2,400 shares (24%).
