Fundraising Plan and AGM Details

A key resolution passed by the board is the approval to raise funds aggregating up to ₹5,000 crore. This capital will be raised through the issuance of equity shares, non-convertible debentures, or other eligible convertible securities, possibly through a Qualified Institutional Placement (QIP) or other permissible modes. The company also announced that its 31st Annual General Meeting (AGM) is scheduled for September 21, 2026, to seek shareholder approval for these financial statements and the proposed fundraising activities.

Leadership Re-appointments

In continuity of leadership, the board re-appointed Mr. Surenderpal Singh Saluja as Chairman and Whole-time Director for a period of five years, commencing from December 19, 2026, to December 18, 2031. This re-appointment is based on the recommendation of the Nomination and Remuneration Committee and is subject to member approval. Similarly, Mr. Chiranjeev Singh Saluja has been re-appointed as Managing Director for the same five-year term, from December 19, 2026 to December 18, 2031, following the committee’s recommendation and pending shareholder approval.

Cost Auditors and Committee Reconstitution

Furthering its corporate governance, Premier Energies has appointed M/s. S.S. Zanwar & Associates as the Cost Auditors for the financial year ending March 31, 2027. The Board also approved the reconstitution of the Risk Management Committee, with Mr. Nishith Hasmukh Mehta appointed as the new Chairman, effective August 06, 2026.
