Poonawalla Fincorp Limited announced the approval of the allotment of secured, redeemable, rated, and listed non-convertible debentures (NCDs) through its Finance Committee. A total of 10,000 NCDs were approved for issuance with a face value of ₹1,00,000 each, amounting to ₹100 crore, plus accrued interest and a discount. Additionally, 75,000 NCDs were approved, totaling ₹750 crore, for a total approved amount exceeding ₹850 crore.

Poonawalla Fincorp Limited has announced the approval of the allotment of secured, redeemable, rated, and listed non-convertible debentures (NCDs). This decision was made by the company’s Finance Committee during its meeting on September 16, 2026, acting under the authority granted by the Board of Directors.

Allotment Details

The approved allotment comprises two tranches of NCDs:

  • Series E1 FY 2026-27 Re-Issuance I: The company approved the allotment of 10,000 NCDs, each with a face value of ₹1,00,000. The total amount for this series is ₹100,00,00,000 (₹100 Crore). This includes accrued interest of ₹66,49,300 and a discount of ₹26,21,000, bringing the total consideration to ₹100,40,28,300.
  • Series F1 FY 2026-27: An additional 75,000 NCDs, each with a face value of ₹1,00,000, were approved. The total value for this series amounts to ₹750,00,00,000 (₹750 Crore).

Instrument Terms

These NCDs are secured, redeemable, rated, and listed. The debentures would be listed on the Debt Market Segment of the BSE Limited.

Series E1 FY 2026-27 Re-Issuance I

  • Tenure: Original Tenure – 914 Days (2 years and 6 months), Reissuance Tenure – 884 Days.
  • Coupon/Interest Offered: 8.0900% p.a.
  • Date of Allotment: September 16, 2026.
  • Date of Maturity: Friday, February 16, 2029.

Series F1 FY 2026-27

  • Tenure: 1,097 Days (3 years).
  • Coupon/Interest Offered: 8.3082% p.a.
  • Date of Allotment: September 16, 2026.
  • Date of Maturity: Monday, September 17, 2029.

Security and Delay in Payment

The obligations under these debentures are secured by a first-ranking pari passu charge on the Hypothecated Properties. In case of delay in payment of interest or principal for more than three months, the company shall pay coupon on the NCDs at a rate of 2% (two per cent) over and above the applicable coupon rate until the default is cured.
