Patel Engineering Limited announced today the successful completion of the sale of its equity shares in ACP Tollways Private Limited, an associate company. The transaction, finalized on August 28, 2026, marks a significant divestment for Patel Engineering.

Transaction Details

Under the terms of the sale, Patel Engineering Limited transferred 84,95,040 equity shares of ACP Tollways Private Limited. These shares represent 32% of the issued and paid-up equity share capital of ACP Tollways. The sale was executed for a total consideration of ₹55 crore.

The shares were acquired by APCO Infratech Private Limited and other individual buyers. APCO Infratech is primarily involved in infrastructure development, road construction, and tollway operations. Crucially, none of the buyers belong to Patel Engineering’s promoter or promoter group/group companies, and the transaction is not considered a related-party transaction.

The agreement for the sale was entered into on August 27, 2026, with the completion date set for August 28, 2026.

Financial Impact of ACP Tollways

As of March 31, 2026, ACP Tollways Private Limited had a net worth of approximately ₹26.02 crore, which constituted 0.59% of Patel Engineering’s consolidated net worth. The associate company reported a loss of ₹12.73 crore as of the same date, representing -4.32% of Patel Engineering’s consolidated net profit. The carrying value of this investment on Patel Engineering’s consolidated financials as of March 31, 2026, was also ₹26.02 crore. The turnover or revenue contributed by ACP Tollways to Patel Engineering was nil.
