Maharashtra Seamless: FY26 Financials & Dividend Outlined Ahead of AGM

Maharashtra Seamless Limited has announced its 38th Annual General Meeting (AGM) to be held on Tuesday, 15th September, 2026, at 11:30 AM via Video Conferencing. The company will present its audited financial statements for the financial year ended 31st March, 2026, along with the reports of the Board of Directors and Auditors. Additionally, a dividend of ₹10/- per equity share is proposed, subject to member approval.

38th Annual General Meeting Scheduled

Maharashtra Seamless Limited will convene its 38th Annual General Meeting (AGM) on Tuesday, 15th September, 2026, commencing at 11:30 A.M. The meeting will be conducted entirely through Video Conferencing (VC) or Other Audio Visual Means (OAVM), aligning with current regulatory circulars.

Financial Statement Adoption and Dividend Declaration

The primary agenda items for the AGM include the consideration and adoption of the Company’s audited financial statements for the financial year ended 31st March, 2026, along with the accompanying reports from the Board of Directors and the Auditors. Furthermore, the Board has recommended the declaration of a dividend of ₹10/- per equity share (face value ₹5/- each) for the financial year ended 31st March, 2026.

Director Appointments

The AGM will also address the appointment of directors. Mr. Pithelis Raj Santhana Marian, who is retiring by rotation, has offered himself for re-appointment. Additionally, Mr. Shiv Kumar Singhal, initially appointed as an Additional Director, is proposed for appointment as a Director liable to retire by rotation, and his appointment as a Whole-time Director for a period of three years is also on the agenda. Dr. Raj Kamal Agarwal is proposed for appointment as an Independent Director for a period of five years.

Cost Auditor Remuneration Ratification

The shareholders will be asked to ratify the remuneration of the Cost Auditors for the financial year ending 31st March, 2027. M/s R. J. Goel & Co. have been appointed as the Cost Auditors, with a proposed remuneration of ₹3,50,000/- plus actual expenses.
