Lux Industries: AGM on Sep 25, 2026; Proposes ₹2 Dividend

Lux Industries Limited has announced its 31st Annual General Meeting (AGM) scheduled for Friday, September 25, 2026, at 11:00 AM IST. The meeting will be conducted via Video Conferencing (VC) / Other Audio-Visual Means (OAVM). The company also proposed a final dividend of ₹2.00 per equity share, representing 100% of the face value, for the financial year ended March 31, 2026, subject to shareholder approval.

31st Annual General Meeting Announced

Lux Industries Limited has announced its 31st Annual General Meeting (AGM) which will be held on Friday, September 25, 2026, at 11:00 AM IST. The meeting will be conducted entirely through Video Conferencing / Other Audio-Visual Means (VC/OAVM), with the venue deemed to be the company’s registered office at 39, Kali Krishna Tagore Street, Kolkata – 700007.

Ordinary Business

The agenda for the AGM includes the receipt and adoption of the Audited Standalone and Consolidated Financial Statements for the financial year ended March 31, 2026, along with the Reports of the Board of Directors and Auditors.

Proposed Final Dividend

The Board of Directors has proposed a final dividend of ₹2.00 per equity share (100% of the face value of ₹2.00 each) for the financial year ended March 31, 2026. This proposal is subject to the approval of the shareholders at the ensuing Annual General Meeting. Notably, the Promoters and Promoter Group shareholders have waived their right to receive this final dividend to conserve resources for future expansion.

Director Re-appointments

The AGM will also address the re-appointment of directors retiring by rotation, namely Mr. Rahul Kumar Todi and Mr. Saket Todi. Furthermore, the re-appointment of Mr. Sadhu Ram Bansal, Mrs. Shashi Sharma, and Mr. Kumud Chandra Paricha Patnaik as Independent Directors for their second term of five consecutive years will be proposed.

E-Voting Information

Details regarding the process for registering email addresses for e-voting, obtaining User IDs and passwords, and the procedure for remote e-voting and e-voting at the AGM are provided. Members are requested to update their details with KFin Technologies Limited, the company’s Registrar to an Issue and Share Transfer Agent, to facilitate these processes.
