Laurus Labs to Acquire Majority Stake in SI&C Resins

Laurus Labs announced today, October 29, 2026, that its Board of Directors has approved the acquisition of 52% of the equity share capital in SI&C Resins Private Limited (“SI&C”). The transaction is based on a pre-money valuation of ₹30 Crore. Laurus Labs proposes to invest a total of ₹32.50 Crore through a primary acquisition of 10,833 equity shares, which will represent 52% of SI&C’s post-issue equity capital.

Strategic Rationale for Acquisition

SI&C Resins specializes in the manufacturing and supply of advanced polymer and silica-based products, catering to the chemical, pharmaceutical, and biotechnology sectors. Its product portfolio includes peptide and peptidomimetic synthesis, absorption and separation of heavy metals, oxidation and reduction of functional groups, and counter-ion exchange for small molecules and APIs. This acquisition is a strategic move to enhance Laurus Labs’ offerings in peptide manufacturing, making it fully integrated.

The investment is expected to create synergy within Laurus Labs’ existing business, while SI&C will continue to develop new markets. The integration of SI&C’s capabilities in indigenous resins, chromatography gels development, and large-scale manufacturing is intended to capture fully integrated peptide manufacturing opportunities. Furthermore, SI&C will support the development of a large-scale manufacturing plant for peptide resins and chromatography gels, aiding solid-phase peptide synthesis (SPPS) and related products.

Financials and Deal Structure

SI&C Resins was incorporated on July 15, 2026, and will take over the business of a partnership firm, M/s SI & C Resins. The firm, registered in 2022, had a turnover of ₹3.55 Crore for the financial year 2024-25 and ₹4.05 Crore for 2025-26. The acquisition is structured as a cash consideration, with the total investment amounting to ₹32.50 Crore for 52% of the post-issue equity capital. Laurus Labs may also invest up to an additional ₹30 Crore in SI&C’s securities as needed.

Following the transaction, SI&C will become a subsidiary of Laurus Labs, holding 52% of its equity share capital. The acquisition is expected to be completed within the current financial year, subject to customary closing conditions.
