Board Meeting Approves Financial Results and Strategic Initiatives

KPIT Technologies Limited convened its Board of Directors meeting on Wednesday, October 28, 2026, where several critical business decisions were made. The meeting, which commenced at 09:15 AM IST and concluded at 12:45 PM IST, focused on reviewing and approving the company’s financial performance and outlining future strategic directions.

Financial Performance Review

The Board approved the unaudited consolidated and standalone financial results for the quarter and half-year ended September 30, 2026. These results were accompanied by limited review reports from the company’s statutory auditors, who issued an unqualified opinion. The detailed financial statements indicate a robust performance in the period.

Key Strategic Approvals

Subsidiary Development

In line with its global growth strategy, the company’s Board approved the incorporation of a wholly-owned subsidiary in Vietnam. This move aims to leverage Vietnam’s skilled talent pool, enhance customer engagement, build R&D capabilities, and strengthen KPIT’s presence in the region.

Furthermore, the Board approved the strike-off of Somit Solutions Limited (Somit UK), a wholly-owned step-down subsidiary, in accordance with UK laws. This consolidation is expected to reduce regulatory compliance complexities and associated costs without impacting business operations or financial reporting.

Financial Facility Enhancement

To support business growth, KPIT Technologies will issue a Letter of Comfort (LOC) in favor of its wholly-owned subsidiary, KPIT Technologies (UK) Limited. This LOC will facilitate an increase in the factoring facility limit from GBP 6 million to GBP 12 million from BNP Paribas Commercial Finance Limited. The company has clarified that this does not involve a guarantee or indemnity, thus posing no material financial obligation.

Leadership Appointments

The Board also announced the appointment of Mr. Anant Talaulicar as an Independent Director and Chairman of the Board of KPIT Technologies Inc., a material unlisted subsidiary. This appointment is effective from October 28, 2026, and further details are provided as per regulatory requirements.
