The LOI is a preliminary step, subject to due diligence and definitive agreements, potentially boosting KP Group’s international presence and growth in the clean energy market.

KP Group, a prominent player in the renewable energy landscape, has entered into a significant Non-Binding Letter of Intent (LOI) with Raz Holding Group, a diversified conglomerate from Saudi Arabia. This marks a crucial step towards a potential strategic investment and/or collaboration between the two entities.
Key Aspects of the LOI
The LOI outlines Raz Holding Group’s interest in making a strategic investment or engaging in collaboration with KP Group or its operating subsidiaries. The exact structure of this proposed partnership, including potential acquisitions or capital infusions, will be determined following the completion of comprehensive due diligence. This process will also involve negotiations and the execution of definitive, legally binding agreements.
The proposed strategic investment and/or collaboration is contingent upon the satisfactory completion of financial, legal, tax, technical, and ESG due diligence. It also requires the necessary corporate, board, and shareholder approvals from both parties, along with all applicable regulatory clearances, including those under FEMA/RBI and SEBI.
Importantly, the LOI itself is non-binding and does not obligate either party to proceed with the transaction. Any binding commitment will arise only upon the signing of definitive agreements. The parties have agreed to work towards these definitive agreements within an exclusivity period of 90 days from the date of the LOI, which remains valid until November 18, 2026, unless mutually extended.
