  • Cut-off Date: Wednesday, September 23, 2026
  • Remote E-Voting Period: Commencing on Thursday, September 24, 2026, at 9:00 a.m. IST and concluding on Tuesday, September 29, 2026, at 5:00 p.m. IST.

Agenda Items for the AGM

The AGM will address several key business items:

Ordinary Business:

  • To receive, consider, and adopt the audited financial statements for the financial year ended March 31, 2026, along with the reports of the Board of Directors and Auditors.
  • To approve the re-appointment of Mr. Pramod Kumar Kothari, who retires by rotation and is eligible for re-appointment.

Special Business:

  • To approve the revision in the remuneration of Mr. Pramod Kumar Kothari, Chairman and Managing Director, for the period effective from April 1, 2026, to March 31, 2028. This includes a revised salary of ₹6,00,000/- per month, along with provisions for accommodation, car with driver, and other benefits.
  • To approve the revision in the remuneration of Mrs. Kavita Devi Kothari, Whole-Time Director, for the period effective from April 1, 2026, to March 31, 2028. Her revised salary will be ₹5,75,000/- per month, with similar ancillary benefits as proposed for Mr. Kothari.

The company has engaged National Securities Depository Limited (NSDL) to provide the e-voting facility.
