JSW Steel: Amalgamation Scheme Effective from August 1, 2026

JSW Steel Limited has announced that its Scheme of Amalgamation, involving Amba River Coke Limited, Monnet Cement Limited, and JSW Retail and Distribution Limited, has become effective as of August 1, 2026. The amalgamation was sanctioned by the National Company Law Tribunal (NCLT) and has now been filed with the Registrar of Companies, Mumbai. The Appointed Date for the Scheme was April 1, 2026.

JSW Steel Limited has officially confirmed the effectiveness of its significant Scheme of Amalgamation. This complex restructuring, which integrates Amba River Coke Limited (ARCL), Monnet Cement Limited (MCL), and JSW Retail and Distribution Limited (JRDL) into JSW Steel Limited (JSL), has been declared effective from August 1, 2026.

Key Dates and Approvals

The effectiveness of the Scheme follows the filing of the certified copy of the final NCLT order dated July 2, 2026, and a rectified order dated July 15, 2026, with the Registrar of Companies, Mumbai. The crucial Appointed Date for the Scheme was set as April 1, 2026. This marks the culmination of a process that began with the NCLT’s approval.

Scope of the Amalgamation

The amalgamation consolidates three transferor companies—ARCL, MCL, and JRDL—into the transferee company, JSW Steel Limited. This strategic move, sanctioned under Sections 230 to 232 of the Companies Act, 2013, aims to streamline operations, enhance synergies, and optimize group structure for the companies involved.
