Jindal Worldwide Limited announced the outcome of its Board of Directors meeting held on August 7, 2026. Key decisions included the approval of a ₹650 Crore rights issue to raise funds through the issuance of equity shares. The terms and conditions of this issue will be determined by a ‘Securities Issuance Committee’ at a later date.
Authorized Share Capital Increase
In a significant move to support future expansion, the Board also approved an increase in the company’s authorized share capital. The authorized capital will be raised from ₹101,00,00,000 (₹101 Crore) to ₹146,00,00,000 (₹146 Crore). This expansion will facilitate the issuance of 146,00,00,000 equity shares of face value ₹1 each. Consequently, the capital clause of the Memorandum of Association will be altered.
Leadership and AGM Details
Furthermore, the Board approved the re-appointment of Mr. Amit Yamunadutt Agarwal as Managing Director, with the designation “Vice-Chairman & Managing Director,” subject to member approval at the upcoming 40th Annual General Meeting (AGM). The 40th AGM is scheduled for Tuesday, September 1, 2026, and will be conducted via Video Conferencing or Other Audio Visual Means. The “Cut-off Date” for determining eligible members to vote at the AGM has been fixed as Tuesday, August 25, 2026, with the Register of Members and Share Transfer Books closed from August 26 to September 1, 2026.
