Board Comments on Exchange Fines
The Board also addressed the matter of fines levied by stock exchanges for non-compliance with SEBI (LODR) Regulations regarding the composition of the Board and its committees for the quarter ended June 30, 2026. IRCON reiterated that as a Government company, the appointment of directors rests with the President of India through the Ministry of Railways, and the company has been actively seeking the appointment of requisite independent directors. The company stated that the levy of the fine is unreasonable given these circumstances. The Board noted that a Woman Independent Director was appointed effective August 17, 2026, and the Audit Committee (AC) and Nomination & Remuneration Committee (NRC) were subsequently re-constituted.

Their report indicates that based on their review, nothing has come to their attention that causes them to believe that the accompanying statement is not free of material misstatement.
