Inox Leasing and Finance: Sells 30 Lakh Shares in Inox Wind to Promoter Group

The transaction, valued at approximately ₹0.52 crore, was an inter-se transfer within the promoter group, with shares being sold to Devansh Trademart LLP. This move, disclosed under SEBI regulations, does not alter the overall promoter holding percentage but reflects internal restructuring. The transaction date was August 25, 2026.

Promoter Group Share Transfer

Inox Leasing and Finance Limited has reported the disposal of 30,00,000 equity shares in Inox Wind Limited. This transaction was executed as an ‘inter-se transfer’ within the promoter group, with the shares being acquired by Devansh Trademart LLP, another entity within the promoter collective. The disclosure was made in accordance with Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Transaction Details

The shares were sold on August 25, 2026. Prior to this sale, Inox Leasing and Finance Limited held approximately 27.71% of the total share capital of Inox Wind Limited. Following the disposal of 30,00,000 shares, their holding has been adjusted to 47,59,15,610 shares, representing 27.54% of the total voting share capital. The percentage with respect to the diluted share capital is now 27.44%. Despite this transaction, the overall percentage of the promoter group’s holding in Inox Wind Limited remains substantial.

Regulatory Disclosure

The format for the disclosure under Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, has been duly followed. The total share capital of Inox Wind Limited before the acquisition/sale was 172,82,37,822 equity shares. After the transaction, the equity share capital remains unchanged, with the total diluted share capital being 173,41,41,093 equity shares. This inter-se transfer is a common practice for promoter groups to reallocate holdings amongst themselves.
