IMFA: Board Approves Q1 FY27 Unaudited Financial Results, Reconstitutes Committees

The Board approved the unaudited financial results for the quarter ended June 30, 2026, both standalone and consolidated. Additionally, the Board approved the reconstitution of the Audit Committee and the Stakeholders Relationship Committee, effective August 5, 2026.

Indian Metals & Ferro Alloys Limited (IMFA) convened a Board of Directors’ meeting on August 4, 2026, where several key decisions were made. The primary outcome was the approval of the company’s unaudited financial results for the first quarter of the financial year 2026-27, ending June 30, 2026. These results encompass both standalone and consolidated financial statements. The company has submitted these results, along with a limited review report from its statutory auditors, M/s. Walker Chandiok & Co LLP, for regulatory compliance.

Committee Reconstitutions

In addition to the financial results, the Board also approved the reconstitution of key committees, with these changes taking effect from August 5, 2026. Key Appointments and Procedures Approved

The Board also gave its approval for the draft Postal Ballot Notice, which seeks shareholder approval for the appointment of Dr. Deepak Kumar Mohanty as a Non-Executive Independent Director and an enhancement in the commission payable to Independent Directors for FY 26-27 onwards. Furthermore, the appointments of Mr. Sanjaya Kumar Satapathy as Chief Human Resources Officer and Mr. G V Rakesh as Senior General Manager-Manufacturing (FA) & EIC, Therubali, were approved as Senior Management Personnel, effective August 4, 2026. The Amended Code of Internal Procedures and Conduct for Regulating, Monitoring and Reporting of trading by insiders of the company was also approved.
