Inventurus Knowledge Solutions: Approves Q1 FY27 Financial Results, Board Leadership Changes

Inventurus Knowledge Solutions Limited has announced the approval of its unaudited standalone and consolidated financial results for the quarter ended June 30, 2026. The company also disclosed significant changes in its board leadership, including the retirement of its Non-Executive Chairman, Mr. Berjis Desai, and the designation of Mr. Clarence Carleton King II as the new Non-Executive Chairman, effective from the conclusion of the upcoming 20th Annual General Meeting.

Board Approves Financial Results and Leadership Transitions

Inventurus Knowledge Solutions Limited convened its board meeting on August 5, 2026, where it considered and approved the unaudited standalone and consolidated financial results for the quarter ended June 30, 2026. The detailed financial results and the limited review report from the statutory auditors, Price Waterhouse Chartered Accountants LLP, have been furnished as Annexure – A.

Key Leadership Changes Announced

The board also addressed significant changes within its leadership structure. Mr. Berjis Desai, who holds the position of Non-Executive Chairman and Non-Independent Director, will be retiring from his role. This retirement is effective from the conclusion of the company’s 20th Annual General Meeting (AGM). Mr. Desai has expressed his unwillingness to seek re-appointment due to his new appointment as Member of the National Commission for Minorities, Government of India.

New Chairman Designated

In light of Mr. Desai’s retirement, the board has designated Mr. Clarence Carleton King II, currently an Independent Director, to take over as the Non-Executive Chairman and Independent Director of the Company. This transition will also be effective from the conclusion of the ensuing 20th AGM. Mr. King brings over 40 years of diverse experience in the healthcare sector, including expertise in health care financing and delivery.

Disclosure Compliance

The company has made disclosures regarding these changes as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. These disclosures are provided in Annexure – B and Annexure – D. A copy of Mr. Berjis Desai’s letter expressing his intent to retire has also been enclosed as Annexure – C.

Financial Highlights

The unaudited financial results reveal that for the quarter ended June 30, 2026, the Company reported a Profit before tax of INR 2,509.44 million on a consolidated basis. The profit after tax for the period stood at INR 1,937.41 million. Standalone figures for the same quarter show a Profit before tax of INR 1,983.50 million and a profit after tax of INR 1,625.46 million.

Revenue from operations for the consolidated entity for the quarter stood at INR 8,936.29 million, while the standalone revenue was INR 4,126.91 million.
