IDFC FIRST Bank: Approves FY26 Financials at 12th AGM

IDFC FIRST Bank announced that its Twelfth Annual General Meeting will be held on Monday, August 31, 2026, at 2:00 p.m. IST. The meeting will be conducted via Video Conferencing or Other Audio-Visual Means. Shareholders will consider and adopt the Audited Standalone and Consolidated Financial Statements for the Financial Year ended March 31, 2026, along with the Directors’ and Auditors’ reports. The agenda also includes the re-appointment of Mr. Pradeep Natarajan as a Director and the declaration of dividend on equity shares.

12th Annual General Meeting Scheduled

IDFC FIRST Bank has announced its Twelfth Annual General Meeting (AGM) for its members. The meeting is scheduled to be held on Monday, August 31, 2026, at 2:00 p.m. IST. In compliance with regulatory circulars, the AGM will be conducted entirely through Video Conferencing (VC) or Other Audio-Visual Means (OAVM), allowing members to participate remotely.

Key Agenda Items

The primary objectives of the AGM include the receipt and adoption of the Audited Standalone Financial Statements for the Financial Year ended March 31, 2026, along with the reports of the Board of Directors and the Auditors. Additionally, the Audited Consolidated Financial Statements for the same period will be presented for consideration and adoption.

Furthermore, the agenda covers the re-appointment of Mr. Pradeep Natarajan (DIN: 10499651) as a Director, who retires by rotation and offers himself for re-appointment. The shareholders will also consider and vote on the declaration of dividend on the Bank’s equity shares for the financial year ended March 31, 2026.

Special Business: Fund Raising Approval

In a special business item, the Bank seeks approval for raising funds through the issuance of Equity Securities. This includes enabling an approval for raising funds through issuance of equity shares and/or other securities linked to equity shares, and/or convertible securities linked to equity shares via private placement, including Qualified Institutional Placement (QIP). The Bank aims to raise an aggregate amount not exceeding R 7,500 crore through this issuance over a period of one year from the conclusion of the AGM.

The Bank also seeks enabling approval for the issuance of Debt Securities on a private placement basis, for an aggregate amount not exceeding R 12,500 crore over and above the outstanding debt securities, to be raised over a period of one year.
