Home First Finance: Approves ₹1,500 Crore Debenture Issue

Home First Finance Company India Limited has approved the allotment of 15,000 Senior, Secured, Rated, Listed, Taxable, Redeemable, Transferable Non-Convertible Debentures (NCDs) with a face value of ₹1,00,000 each. The total aggregate nominal value of this issuance amounts to ₹150,00,00,000 (₹1,500 crore). These NCDs will be redeemed in August 2031 and carry a coupon rate of 7.55% per annum. The allotment is being made on a private placement basis to Kotak Mahindra Bank Ltd.

Home First Finance Approves Major Debenture Issuance

Home First Finance Company India Limited announced today that its Committee of Directors and Review Committee, through a circular resolution passed on Friday, August 28, 2026, has approved the allotment of 15,000 Senior, Secured, Rated, Listed, Taxable, Redeemable, Transferable Non-Convertible Debentures (NCDs). Each debenture has a face value of ₹1,00,000 (Indian Rupees One Lakh), bringing the total aggregate nominal value of the issue to INR 150,00,00,000 (Indian Rupees One Hundred and Fifty Crore).

Key Terms of the Debenture Issue

The NCDs are proposed to be redeemed after a period of 59 months and 25 days from the date of allotment, with the maturity date set for August 22, 2031. The debentures carry a coupon rate of 7.55% per annum, calculated as on the Date of Allotment. This rate is a floating rate, aggregating the prevailing 3-month overnight indexed swap (OIS) based lending rate plus a spread of 2.16%. The interest is payable quarterly.

The issuance is being made on a private placement basis to Kotak Mahindra Bank Ltd. The debentures are intended to be listed on the wholesale debt market (WDM) segment of BSE Limited.

Security and Other Provisions

The debentures will be secured on or prior to the Deemed Date of Allotment by a first ranking pari passu continuing charge over the company’s receivables and other security interests as agreed with the Debenture Trustee. In case of delayed payments, an additional interest of 2% per annum will be levied on the outstanding principal amounts.
