Hindustan Unilever Limited (HUL) announced on November 4, 2026, that its Board of Directors has resolved to seek the approval of the company’s members through a postal ballot process for a revision in the remuneration payable to its Non-Executive Directors. This revision is proposed for a period of five years, commencing from April 1, 2026, and concluding on March 31, 2031.
Key Details of the Proposal
The annual aggregate limit for remuneration to Non-Executive Directors will be set at an amount not exceeding the lower of ₹15 crore per annum or 1% of the Net Profits of the Company per annum. This calculation will be computed in the manner prescribed under Section 198 of the Companies Act, 2013, with any other percentage as may be specified by the Act from time to time.
Voting Process and Cut-off Date
Members whose names appear in the Register of Members or on the List of Beneficial Owners as of the cut-off date, Friday, November 6, 2026, are eligible to vote on the resolution. Mr. S.N. Ananthasubramanian, a Practicing Company Secretary, has been appointed as the Scrutinizer for conducting the postal ballot process.
