GSPL Transmission Limited has announced that the Composite Scheme of Arrangement has officially become effective as of May 1, 2026. Following the filing of the e-Form INC-28 with the Registrar of Companies, the restructuring involving multiple entities within the group is now complete. This milestone marks the formal amalgamation of key transferor companies and the successful demerger of the Gas Transmission Business Undertaking into the resulting company.
Completion of Corporate Restructuring
GSPL Transmission Limited has confirmed that the Composite Scheme of Arrangement has reached its effective date on May 1, 2026. This development follows the receipt of the necessary sanction from the Ministry of Corporate Affairs and the subsequent filing of the certified order with the Registrar of Companies.
Details of the Amalgamation and Demerger
Under the terms of the approved scheme, Gujarat State Petroleum Corporation Limited, Gujarat State Petronet Limited, and GSPC Energy Limited have been amalgamated with Gujarat Gas Limited. These transferor companies now stand dissolved without the requirement of winding up.
Additionally, the Gas Transmission Business Undertaking has been successfully demerged into GSPL Transmission Limited. This strategic restructuring serves to consolidate the group’s operational framework and realign its business undertakings for enhanced focus and efficiency.
