The company announced this significant governance update, detailing that Dr. Biswal has been appointed as an Additional Director with immediate effect from August 20, 2026.
Role and Tenure
Dr. Biswal’s appointment is classified as Independent and Non-Executive. Her tenure is set for a first term of three consecutive years, commencing on August 20, 2026, and concluding on August 19, 2029. This appointment is, however, subject to the formal approval of the company’s Members at the upcoming Annual General Meeting.
The Board’s decision was made following the recommendation of the Nomination and Remuneration Committee, signaling a thorough review process for the new director.
Director’s Qualifications and Independence
In accordance with regulatory requirements, Dr. Mamata Biswal has confirmed that she meets the criteria for ‘independence’ as stipulated under Section 149 of the Companies Act, 2013, and Regulation 16 of the applicable Listing Regulations. Furthermore, she has affirmed that she has not been debarred from holding a director’s office by any order from SEBI or any other competent authority.
Dr. Biswal brings a robust academic and professional background to GNFC. She is a Professor of Law and an ICSSR Senior Research Fellow at Gujarat National Law University, possessing over 25 years of teaching and research experience. Her qualifications include a Ph.D. in Law, an LL.M. in Commercial Law, and a B.Sc. (Honours), complemented by a qualified UGC-NET. She has also served as a Visiting Scholar at the University of Illinois, Urbana-Champaign, USA.
Her extensive experience includes serving as a resource person for various training programs for Grade A officers of IFSCA, CBI Law Officers, Indian Corporate Law Service, and has been involved with institutions like the Insolvency and Bankruptcy Board of India. She has also coordinated and served as a resource person for courses on Corporate Governance, Company Law, and Financial Market Laws. Her contributions through research papers, articles, and books have been recognized nationally and internationally.
