GDL Leasing & Finance: Board Approves Share Capital Hike and Warrant Issuance

GDL Leasing & Finance’s Board of Directors has approved a significant increase in the company’s authorized share capital from ₹5.50 crore to ₹8.50 crore. Additionally, the board has greenlit a proposal to issue up to 30,00,000 warrants convertible into equity shares on a preferential basis to non-promoter category investors. The company also announced the appointment of a new independent director and fixed the date for its Annual General Meeting.

Share Capital Expansion Approved

In a key strategic move, the Board of Directors of GDL Leasing & Finance Limited has approved a substantial increase in the company’s authorized share capital. The authorized capital will be enhanced from the existing ₹5,50,00,000/- (Rupees Five Crores Fifty Lakhs Only) to ₹8,50,00,000/- (Rupees Eight Crore Fifty Lakhs Only). This capital expansion is subject to shareholder approval at the upcoming Annual General Meeting (AGM). This move is expected to provide the company with greater financial flexibility for future growth initiatives.

Preferential Issuance of Warrants

The Board also considered and approved a proposal to raise funds through the issuance of warrants. Up to 30,00,000 warrants, convertible into equity shares, will be issued on a preferential basis to investors in the non-promoter category. Each warrant will be issued at a price of ₹14/- and is convertible into one equity share of face value ₹10/-. This preferential issue aims to strengthen the company’s financial position and is contingent upon shareholder and regulatory approvals. The total issue size is estimated at approximately ₹4,20,00,000/-.

New Independent Director Appointed

Further to the financial decisions, the Board, based on the recommendation of the Nomination and Remuneration Committee, has approved the appointment of Mr. Pankaj Bansal as an Additional Director in the category of Non-Executive and Independent Director. His appointment is effective from September 4, 2026, for a term of five years, subject to shareholder approval at the AGM. Mr. Bansal brings over two decades of experience in entrepreneurship and commercial management.

Annual General Meeting Scheduled

The Annual General Meeting (AGM) of the company has been scheduled for Wednesday, September 30, 2026, at 12:15 P.M. The AGM will be conducted through Video Conferencing / Other Audio Visual Means (OAVM). The Board also fixed Wednesday, September 23, 2026, as the cut-off date to determine the eligibility of members for remote e-voting.
