Gabriel India Limited has confirmed that the Composite Scheme of Arrangement has become effective as of May 22, 2026. This operational milestone follows the sanction received from the Hon’ble National Company Law Tribunal, Mumbai Bench on May 11, 2026. By filing the certified copy of the order with the Registrar of Companies, the company has finalized the internal corporate restructuring process.
Details of the Amalgamation and Demerger
Under the terms of the sanctioned scheme, significant structural changes have been implemented:
- Amalgamation: The Transferor Company has been amalgamated with the Transferee Company and stands dissolved without the process of winding up.
- Demerger: The Demerged Undertaking has been successfully transferred to and vested in Gabriel India Limited.
