These appointments, effective from July 2026, ensure continued strategic stability as the company expands its omnichannel retail and consumer brands portfolio.

Strengthening Executive Leadership

The Board of Directors has approved the re-appointment of Ms. Adwaita Nayar and Mr. Anchit Nayar as Whole-Time Directors, designated as Executive Directors, for a five-year term commencing July 01, 2026, and ending on June 30, 2031. Both leaders have been pivotal in scaling Nykaa’s beauty and fashion ecosystems, driving brand partnerships, and expanding the company’s omnichannel retail footprint.

Ensuring Board Oversight

The company has also extended the tenure of its Independent Directors, Ms. Anita Ramachandran and Mr. Milind Sarwate, for a second term of five years. Their new term is scheduled to begin on July 15, 2026, and will conclude on July 14, 2031. Their continued involvement ensures strong governance, particularly within the company’s Audit and Nomination & Remuneration committees, leveraging their extensive experience in HR, finance, and corporate strategy.

Strategic Continuity

These re-appointments, which are subject to approval by the company’s members, underscore the firm’s focus on maintaining experienced leadership. By retaining these key individuals, the company aims to sustain the momentum built over the past decade in both its digital consumer platforms and its expanding portfolio of owned brands, including Kay Beauty and Nykaa Cosmetics, as well as its strategic acquisitions like Dot & Key and Earth Rhythm.
