Eternal Limited (formerly Zomato Limited) has approved a significant internal restructuring. The company will transfer its ‘Going-out India’ business to its subsidiary, Zomato Entertainment Private Limited (ZEPL), via a slump sale. Additionally, Eternal has finalized the sale of its stake in Adonmo Private Limited to Vivish Technologies Private Limited (Mygate), a move intended to facilitate a broader merger between Adonmo and Mygate. The restructuring aims to streamline corporate structure and achieve operational synergies.
Eternal Limited Board Approves Key Strategic Moves
Eternal Limited, previously known as Zomato Limited, announced significant strategic decisions following its Board of Directors meeting on October 21, 2026. The company has approved the transfer of its ‘Going-out India’ business, including its associated assets and liabilities, to its wholly-owned subsidiary, Zomato Entertainment Private Limited (ZEPL), through a slump sale. This initiative is part of an internal restructuring effort designed to consolidate the ‘Going-out India’ operations into a single entity, thereby streamlining the group’s corporate structure and enhancing operational synergies.
Business Consolidation and Restructuring
The ‘Going-out India’ business, currently housed within two other subsidiaries, Orbgen Technologies Private Limited (OTPL) and Wasteland Entertainment Private Limited (WEPL), will also be integrated into ZEPL. The boards of ZEPL, OTPL, and WEPL have granted in-principle approval to explore the implementation of this business consolidation. This move is expected to create greater efficiencies and a more cohesive operational framework for the company’s dining-out and entertainment ticketing ventures.
Sale of Adonmo Stake and Proposed Merger
In a separate strategic transaction, Eternal Limited has completed the sale of its shares in Adonmo Private Limited to Vivish Technologies Private Limited (Mygate). This transaction involves the sale of 11,214 Series B compulsorily convertible preference shares and 10 equity shares in Adonmo, in exchange for 1,84,091 Series C1 compulsorily convertible preference shares and 164 equity shares of Mygate. This exchange is a precursor to a proposed merger between Adonmo and Mygate. Upon completion of this merger, Eternal Limited is expected to hold approximately 4.4% equity stake in the merged Mygate entity, currently valued at INR 156 crore. This move aligns with the company’s strategy to divest non-core assets and focus on its primary business lines.
Financial Performance Highlights
