Corporate Transformation Underway for Esha Media Research

Esha Media Research Limited has taken several strategic steps to redefine its corporate identity and operational structure. At a board meeting held on Wednesday, November 4, 2026, the directors approved a series of pivotal decisions aimed at future growth and operational efficiency.

Name Change and Relocation

A significant resolution passed by the board is the proposed change of the company’s name from Esha Media Research Limited to Emergent Media Research Labs Limited. This change is contingent upon obtaining necessary approvals from the shareholders, the Registrar of Companies, and other competent authorities. Concurrently, the board has approved the shifting of the company’s registered office from Ghatkopar (East), Mumbai, to a new location within the same city: 4th Floor, Vakrangee Corporate House, Plot No.93, Road No.16, M.I.D.C. Marol, Andheri (East), Mumbai – 400093. Both the name change and office relocation are intended to reflect the company’s evolving business landscape.

Financial Performance and Equity Infusion

The board also reviewed and approved the un-audited standalone financial results for the quarter ended September 30, 2026. A key financial decision involved the approval of the conversion of 52,50,000 warrants into an equal number of fully paid-up equity shares of face value Rs. 10 each. This conversion is subject to the receipt of the balance consideration from the warrant holders. The total amount expected from this conversion is Rs. 5,90,62,500. The newly allotted equity shares will rank pari-passu with the existing shares. This conversion will increase the company’s issued, subscribed, and paid-up equity share capital from Rs. 8,80,69,300 to Rs. 14,05,69,300.

Leadership and Committee Changes

In terms of leadership, the board approved the appointment of Ms. Shreya Agrawal as the new Chief Executive Officer (CEO) and Mrs. Gauri Pushkar Khire as the Company Secretary and Compliance Officer, both effective November 4, 2026. The appointment of Mr. Brijmohan Pooranmal Agarwal as an Additional Independent Director was also approved. The resignation of Ms. Rachna Oshan Ghatalia as Company Secretary & Compliance Officer was noted. Furthermore, the board approved the reconstitution of its various committees.

Unaudited Financials and Audit Report

The unaudited financial results for the quarter and half-year ended September 30, 2026, were reviewed and approved. The accompanying statement of unaudited financial results indicates a net loss after tax of (Rs. 29.39) lakhs for the quarter ended September 30, 2026, and a net loss after tax of (Rs. 94.57) lakhs for the half-year ended September 30, 2026. The limited review report from S K Patodia & Associates LLP highlights a qualified conclusion due to an outstanding interest-free unsecured loan liability of Rs. 98.50 lakhs. Attention is also drawn to the material uncertainty related to the going concern, as accumulated losses have fully eroded the company’s net-worth, although promoters/management have committed to infusing funds as required.
