The acquisition will be executed through its wholly-owned subsidiary, EIE Renewables Private Limited, starting with a 51% stake immediately, with the remaining 49% to be acquired over the next 27 months. This move integrates wind energy capabilities into the company’s portfolio, enhancing its project capacity and diversifying its national footprint.
Expanding into Wind Energy
On April 28, 2026, Enviro Infra Engineers Limited (EIEL) entered into a definitive agreement to acquire 100% of the share capital of Suyog Urja Limited. This transaction is structured in a phased manner, with the company securing a 51% controlling stake immediately, followed by the acquisition of the remaining 49% within a period of 27 months. The total cost of this acquisition is approximately ₹311 crore, payable in cash.
Strategic Rationale and Growth
Suyog Urja Limited brings significant expertise in wind and solar energy infrastructure, boasting a PAN India presence. With over 500 MW of projects completed and an outstanding order book of ₹645 crore, the target company strengthens EIEL’s competitive standing in the renewable energy sector. The acquisition allows EIEL to gain end-to-end EPC capabilities, ranging from land acquisition to final commissioning.
Financial Performance and Leadership
The target entity has shown robust financial growth, with a reported audited turnover of ₹171.99 crore for FY 2024-25, compared to ₹86.71 crore in FY 2023-24 and ₹53.34 crore in FY 2022-23. To ensure operational continuity, the erstwhile promoter, Mr. Chetraj Narbahadur Khadka, will continue to lead and provide strategic oversight for the next three years, leveraging his two decades of industry experience to support the company’s sustained development.
