Enviro Infra Engineers Strategic Acquisition of Suyog Urja Limited to Boost Renewable Energy Footprint

Enviro Infra Engineers Limited has announced the strategic acquisition of Suyog Urja Limited, a wind energy EPC company, for a total value of ₹311 crore. The deal, which will be executed in three tranches, marks a significant expansion of the company’s renewable energy portfolio. By integrating wind EPC capabilities alongside its existing solar and battery energy storage solutions, Enviro aims to deliver comprehensive, future-ready infrastructure solutions across the water and energy sectors.

Acquisition Structure and Financials

The acquisition of Suyog Urja Limited will be completed in three stages to reach 100% ownership. The first tranche involves a 51% controlling stake for ₹111 crore, followed by 24% in 2027 and the remaining 25% in 2028. The transaction is funded through a 50:50 mix of equity and debt. Suyog Urja, known for its asset-light, zero-debt model, is expected to report ₹355 crore in revenue and ₹38 crore in profit for FY26, with PAT margins exceeding 11%.

Strategic Rationale and Growth

This move is designed to diversify the group’s renewable energy capabilities, enabling them to pursue hybrid renewable projects. Suyog Urja brings a wealth of expertise, including a track record of over 500 MW of completed projects and 600 MW currently under execution. With a healthy order book of approximately ₹650 crore, the acquisition allows the company to strengthen its position in power transmission and tap into a broader client base of high-credit-rated private sector developers.

Consolidated Portfolio Expansion

Following the integration, the ENVIRO group’s consolidated order book reaches approximately ₹5,600 crore. This comprises ₹4,400 crore in EPC projects, balanced between ₹2,500 crore in water infrastructure and ₹1,900 crore in renewables. Additionally, the group manages ₹1,200 crore in O&M services and an IPP portfolio consisting of 79 MW of solar and 150 MWh of BESS, solidifying its status as a multi-segment infrastructure leader.
