Embassy Developments: Board Approves ₹362 Crore Promoter Fund Raise

Embassy Developments Limited’s Board of Directors, in their meeting on August 10, 2026, approved a preferential issue of convertible warrants to the promoter group. This fundraising initiative aims to raise up to INR 362.62 crore to support general corporate purposes and debt repayment. The board also approved the unaudited financial results for the quarter ended June 30, 2026, and the appointment of Mr. Neel Virwani to senior management.

Embassy Developments Secures Promoter Funding

Embassy Developments Limited announced today that its Board of Directors has given the green light for a significant fundraising round through the issuance of convertible warrants. The preferential issue, aimed at the promoter group, is set to raise an aggregate of up to INR 362.62 crore. This capital infusion is strategically intended to strengthen the company’s balance sheet, repay shareholder debt, and support its ongoing general corporate needs, thereby enhancing financial flexibility and fostering future growth opportunities.

Key Approval Details

The approval includes the issuance of 3,25,18,900 unlisted warrants convertible into equity shares. These warrants will be issued at an exercise price of INR 111.51 per warrant to Embassy Property Developments Private Limited, a member of the Promoter Group. The conversion is expected to increase the Promoter Group’s shareholding by approximately 1.31%. The transaction is subject to shareholder approval at the upcoming Annual General Meeting.

Financial Results and Appointments

In addition to the fundraising, the Board reviewed and approved the unaudited financial results (standalone and consolidated) for the quarter ended June 30, 2026. The financial results, along with the limited review reports, have been uploaded to the company’s website and will be published in newspapers as per regulatory requirements. Furthermore, the Board approved the appointment of Mr. Neel Virwani, a member of the Promoter Group, as a Senior Management Personnel, effective October 1, 2026, subject to shareholder approval. Mr. Jitendra Virwani, Chairman & Non-Executive Director, was also recommended for re-appointment.
