This buyback is intended to be from shareholders and beneficial owners, excluding promoters, promoter group members, and persons in control of the company. The process will adhere to the SEBI (Buy-Back of Securities) Regulations, 2018, and the Companies Act, 2013.
Indicative Number of Shares and Percentage
Based on the maximum buyback size and price, the indicative maximum number of equity shares proposed to be bought back is 59,36,842. This number represents approximately 1.36% of the company’s existing paid-up equity capital as of March 31, 2026, which is well within the regulatory limit of 25% of total paid-up capital and free reserves.
Commitment to Utilization and Timelines
Emami Limited has committed to utilizing at least 75% of the amount earmarked for the buyback, equating to a minimum buyback size of ₹21,150.00 Lakhs (approximately ₹211.50 crore). Furthermore, 40% of the maximum buyback size, or ₹11,280.00 Lakhs (approximately ₹112.80 crore), is slated for utilization within the initial first half of the offer period. The maximum buyback size represents 9.28% and 9.98% of the company’s total paid-up capital and free reserves as of March 31, 2026.
Buyback Committee and Future Announcements
A dedicated Buyback Committee has been constituted to oversee the buyback process and has been delegated the necessary powers. The company will release a detailed public announcement in due course, outlining the process, timelines, and other statutory details as per the Buyback Regulations.
