Craftsman Automation: Approves Step-Down Subsidiary in Germany

Craftsman Automation Limited’s Board of Directors has approved the proposal to incorporate a step-down wholly owned subsidiary in Germany, named Craftsman Fronberg Precision GmbH. This new entity will be established by Craftsman Germany GmbH. The move is strategically aimed at enhancing in-house machining capabilities, improving operational flexibility, and supporting the Group’s future growth initiatives in its German operations. The initial share capital is set at EUR 25,000.

Expansion into Germany

Craftsman Automation Limited has announced a significant step in its international expansion strategy with the approval to establish a new wholly owned subsidiary in Germany. The decision, made via a circular resolution by the Board of Directors on 21st August 2026, greenlights the incorporation of Craftsman Fronberg Precision GmbH.

Subsidiary Structure and Objectives

This new German entity will be incorporated by Craftsman Germany GmbH, which is itself a wholly owned subsidiary of Craftsman Automation Limited. Consequently, Craftsman Fronberg Precision GmbH will operate as a step-down wholly owned subsidiary of the parent company. The primary objective behind this incorporation is to develop robust in-house machining and processing capabilities for engine and engineering components. This initiative is expected to bolster operational flexibility and support the future growth of the Group’s operations within Germany.

Initial Investment and Scope

The proposed subsidiary will commence operations with an initial share capital of EUR 25,000. Craftsman Automation Limited will hold 100% of the shareholding through its German subsidiary. The incorporation process is subject to the completion of all statutory and regulatory formalities in Germany and any other approvals required under applicable laws.
