Board Approves Q1 FY27 Financials and Dividend

Alongside the financial results, the board has recommended the payment of a final dividend to equity shareholders of record as of September 5, 2026, with the dividend payout scheduled for September 30, 2026.

Key Appointments and AGM Details

In a significant governance move, the Board has approved the co-option of Mr. Krishnakumar Satyanarain Saboo (DIN: 11863005) as an Additional Director. His appointment is effective until the 23rd Annual General Meeting (AGM). Furthermore, the Board has recommended his appointment as a Whole-time Director for a period of five years, commencing August 1, 2026, subject to shareholder approval at the upcoming AGM. Mr. Saboo has also been appointed as the Factory Occupier of the Company.

The company also confirmed the convening of its 23rd Annual General Meeting (AGM) on Saturday, September 12, 2026, which will be conducted via Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The Register of Members and Share Transfer Books will be closed from September 6, 2026, to September 12, 2026, inclusive, for the purpose of the AGM and determining dividend entitlements.

Foreign Subsidiary Incorporation

Additionally, Clean Science and Technology Limited is proceeding with the incorporation of a wholly-owned foreign subsidiary in the Netherlands, to be known as Clean Fino-Chem Limited. This subsidiary will focus on the business of selling, distribution, trading, and job work of speciality chemicals and related products/activities. The initial capital investment is proposed at EUR 50,000.
