These include the re-designation of two directors from Non-Executive Independent to Non-Executive Non-Independent roles, the re-appointment of Mr. Edward M. Prabhakar as a Director liable to retire by rotation, and the re-appointment of Mrs. R. Gomathi as Managing Director and Chairman for three years. The board also reconstituted its key committees.
Board Approves Key Management and Governance Changes
Chennai Meenakshi Multispeciality Hospital Limited has announced a series of significant governance and management updates following a Board of Directors meeting held on September 1, 2026. The decisions, effective from the same date, include changes in director designations and re-appointments of key personnel, alongside the reconstitution of board committees.
Director Re-designations
The board approved the re-designation of Mr. A. F. Simeon Telfer (DIN: 11879121) and Ms. Sindu Chawla (DIN: 11879201). Both directors, previously classified as Non-Executive Independent Directors, will now serve as Non-Executive Non-Independent Directors. This change is effective from September 1, 2026, and both will remain liable to retire by rotation.
Director Re-appointments
Mr. Edward M. Prabhakar (DIN: 11237027), a Non-Executive Director currently retiring by rotation, has been recommended for re-appointment. This re-appointment is subject to shareholder approval at the upcoming Annual General Meeting (AGM).
Managing Director Re-appointment and New Role
Mrs. R. Gomathi (DIN: 02900460) has been re-appointed as Managing Director. Her tenure will extend for three consecutive years, from November 11, 2026, to November 10, 2029. In addition to her role as Managing Director, she will also serve as Chairman during this period and will not be liable to retire by rotation. Her consolidated salary will be ₹1,00,000/- per month. This re-appointment is subject to shareholder approval via a Special Resolution at the ensuing AGM, given her age of 70 years.
Board Committee Reconstitution
Consequent to the director re-designations, the Audit Committee, Nomination and Remuneration Committee, and Stakeholders’ Relationship Committee have been reconstituted, effective September 1, 2026. The revised compositions have been detailed in Annexure 6.
36th AGM Details
The company also announced the details for its 36th Annual General Meeting (AGM), scheduled for Wednesday, September 30, 2026, at 11:00 AM IST, to be conducted via Video Conferencing. The book closure for the AGM will be from September 24, 2026, to September 30, 2026, inclusive.
CEO & KMP Professional Fees Approved
The board approved the payment of professional and surgical fees to Dr. Thanigai Vendan Moorthy, CEO & Key Managerial Personnel (KMP). This includes a fixed consultancy fee of ₹3,00,000/- per month and a variable surgical/procedure fee of up to ₹5,00,000/- per month for FY 2026-27. The total aggregate monthly compensation is capped at ₹8,00,000/- (₹96,00,000/- per annum), structured on an arm’s length basis and separate from his executive remuneration.
