Chambal Breweries & Distilleries: Invade Agro Acquires 16.08% Stake, Launches Open Offer

Chambal Breweries & Distilleries Limited has announced a significant development concerning its shareholding. M/s. Invade Agro Limited has entered into a Share Purchase Agreement (SPA) to acquire 12,03,839 equity shares, representing 16.08% of the company’s total equity and voting share capital. Following this acquisition, Invade Agro Limited has launched an open offer to acquire up to 19,47,077 equity shares, representing 26.00% of the share capital from public shareholders.

Key Shareholder Change

A significant change in the shareholding structure of Chambal Breweries & Distilleries Limited has been reported. M/s. Invade Agro Limited has entered into a Share Purchase Agreement (SPA) dated 30th May 2025 with existing shareholders, Mr. Paras Ram Jhamnani, Mr. Bharat Jhamnani, and Mr. Vinod Jhamnani. Through this SPA, Invade Agro Limited is set to acquire 12,03,839 fully paid-up Equity Shares. This represents 16.08% of the total Equity and Voting Share Capital of Chambal Breweries & Distilleries Limited, at a price of ₹5.50 per Equity Share.

Open Offer to Public Shareholders

In connection with the aforementioned acquisition, M/s. Invade Agro Limited has made a mandatory Open Offer to the public shareholders of Chambal Breweries & Distilleries Limited. The offer is to acquire up to 19,47,077 fully paid-up Equity Shares, which equates to 26.00% of the Equity and Voting Share Capital. This Open Offer is being conducted in accordance with the applicable provisions of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Scheme of Amalgamation Initiated

Subsequent to the closure of the financial year, Chambal Breweries & Distilleries Limited has also initiated the process for a proposed Scheme of Amalgamation between Chambal Breweries & Distilleries Limited and Invade Agro Limited. The necessary applications and documents for obtaining a No-Objection Certificate (NOC) from the Stock Exchange have been filed, and the matter is currently under process.
