Brigade Enterprises Limited has entered into a definitive agreement to restructure Vibrancy Real Estates Private Limited (VREPL) as a joint venture. Following a successful subscription process completed on April 29, 2026, the entity is now co-owned by Brigade Enterprises and GSS India Opportunities AIF, each holding a 50% stake. This transition aligns with the company’s objective to optimize its development pipeline through collaborative investment.

Development Scope and Project Impact

The joint venture is set to undertake a massive integrated real estate project. The development plans include the construction of approximately 2 million square feet of premium space, designated for a mix of office infrastructure and a hotel. This project leverages the industrial land held by the target entity to deliver significant commercial value in its target market.

Transaction and Financial Overview

The total cost for the acquisition and subscription of securities reached Rs. 439.75 crore. This investment includes the issuance of equity shares, optionally convertible debentures, and optionally convertible redeemable preference shares to the respective partners. As a newly formed venture, VREPL is in the early stages of business operations, with nil turnover reported for the previous three financial years, positioning it as a greenfield opportunity for the stakeholders involved.
