The collaboration involves a 50:50 equity split in the subsidiary, Vibrancy Real Estates Private Limited (VREPL), which will spearhead the development of an integrated mixed-use complex featuring 2 million square feet of Grade A office space and a 5-star hotel.

Strategic Collaboration Details

On April 26, 2026, Brigade Enterprises Limited finalized a Securityholders Agreement and a Securities Subscription Agreement to partner with GSS India Opportunities AIF Scheme I. This partnership aims to leverage the expertise of both entities to unlock the potential of a high-value property in Whitefield. Under the arrangement, the Investor will hold a 50% stake in the project vehicle, Vibrancy Real Estates Private Limited (VREPL), matching the stake held by Brigade Enterprises.

Project Vision and Impact

The joint venture is set to transform the 11.04-acre industrial vacant land into a premier commercial destination. The project scope includes the construction and development of a massive 2 million square feet integrated facility. This development will consist of modern Grade A office spaces tailored for corporate occupiers and a luxury 5-star hotel, further enhancing Brigade’s footprint in the Bangalore commercial real estate market.

Financial and Execution Timeline

The transaction involves the issuance of equity shares and optionally convertible securities by VREPL to both the Company and the Investor, based on independent valuation reports. The acquisition is expected to conclude within approximately one week from the announcement date. As the project enters its operational phase, it represents a significant step in Brigade’s strategy to expand its mixed-use portfolio through collaborative investment models.
