Bosch Limited Acquisition of Bosch Chassis Systems India Private Limited

Bosch Limited has received board approval to acquire Bosch Chassis Systems India Private Limited (RBIC) for a total consideration of INR 9,068.70 crores. This strategic all-cash deal, expected to close by the end of Q1 FY27, is designed to consolidate mobility solutions, expand the company’s product portfolio, and create a single, unified powerhouse. The acquisition is projected to be margin-accretive from day one and strengthens Bosch’s position in safety and braking systems.

Strategic Rationale and Deal Structure

The acquisition of RBIC represents a significant step in enhancing Bosch Limited’s mobility portfolio. By integrating RBIC’s specialized offerings in active safety, passive safety, and actuation systems, the company aims to provide a more holistic range of solutions to its customers. The deal structure is primarily an all-cash transaction, with a small preferential allotment of equity shares to former shareholders, ensuring their continued involvement. The transaction is set to strengthen the company’s operational resilience and provide long-term value to shareholders.

Financial Impact and Growth Outlook

The acquisition is expected to provide a substantial boost to the consolidated financial profile. On a pro forma basis for FY25, the company’s consolidated revenue is anticipated to increase by 22%, rising from INR 18,000 crores to INR 22,000 crores. Furthermore, EBITDA margins are projected to improve from 12.8% to 13.9%. RBIC itself has demonstrated strong growth, achieving a 17% revenue CAGR between FY23 and FY25, supported by a significant shift in market demand toward premium vehicle features and advanced safety technologies.

Future-Ready Mobility Solutions

The integration of RBIC is highly complementary to Bosch Limited’s existing business, as RBIC’s product portfolio is powertrain agnostic, ensuring long-term relevance regardless of the transition between ICE and electric vehicle (EV) platforms. With the increasing adoption of safety features like ABS and ESP in India, and the evolving regulatory landscape, the combined entity is well-positioned to capitalize on these structural tailwinds. The company plans to leverage its strong R&D capabilities and localized production footprint to continue delivering advanced, scalable solutions to meet the growing demands of the automotive market.
