The updated code, effective from November 06, 2026, aims to ensure transparency and prevent selective disclosure of material information.

Board Approves Code Amendments

Bombay Cycle & Motor Agency Ltd. announced today, November 06, 2026, that its Board of Directors has approved significant amendments to its internal policies. These amendments pertain to the company’s ‘Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information’ and its ‘Policy for Determination of Legitimate Purposes’.

Regulatory Compliance

The revisions are in accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Regulation 8 read with Schedule A of the SEBI (Prohibition of Insider Trading) Regulations, 2015. The updated ‘Fair Disclosure Policy’ ensures the prompt and uniform dissemination of UPSI to the public, preventing selective disclosures and maintaining market integrity.

Key Policy Provisions

The company’s updated policy reiterates the importance of making UPSI generally available once credible and concrete information is discovered. It designates the Company Secretary as the Chief Investor Relations Officer responsible for managing information dissemination. Furthermore, the policy clarifies procedures for responding to queries from regulatory authorities regarding news reports and market rumours. The amended code also emphasizes the need for a need-to-know basis for handling UPSI and outlines the criteria for sharing such information for ‘Legitimate Purposes’, as defined by a separate policy, ensuring that such sharing does not circumvent insider trading prohibitions.

Policy Effectiveness

The revised Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information and the Policy for Determination of Legitimate Purposes were approved by the Board of Directors at their meeting held on November 06, 2026. These amendments are effective from the same date.
