Bodhtree Consulting Clarifies Preferential Issue Details
Bodhtree Consulting Limited has issued a corrigendum to its Notice for the upcoming 44th Annual General Meeting (AGM). This announcement specifically addresses Item No. 5 of the AGM Notice, which concerns the proposed preferential issue of equity shares.
Enhanced Transparency on Fund Utilization
The corrigendum, dated September 1, 2026, serves to particularize the objects of the preferential issue, amounting to ₹3.99 crore. This clarification aims to provide a more specific and less open-ended description of how the funds will be utilized, as requested by BSE Limited.
The “Expansion and Growth” component of the issue has been detailed into five specific initiatives, including Core IT & Digital Transformation, Artificial Intelligence, Technology Talent Development, Cloud & Cybersecurity Infrastructure, and Selective Technology-enabled Initiatives. The total allocation for this segment remains ₹3.19 crore.
The “General Corporate Purposes” head remains unchanged at ₹0.80 crore. The company has explicitly withdrawn terms such as “capital expenditure,” “strategic investments in real estate,” and “working capital requirements” from the objects to ensure greater specificity.
This clarification does not alter the aggregate amount of ₹3.99 crore or the primary heads of utilization already approved by the Board of Directors on August 11, 2026. The company emphasizes that these changes are purely for enhanced disclosure and do not require fresh Board or shareholder approval. Members are advised to read this corrigendum along with the original Notice and Explanatory Statement before voting.
