Blue Star Concludes 78th Annual General Meeting

Blue Star Limited announced the proceedings of its 78th Annual General Meeting (AGM), which took place on Thursday, August 6, 2026, at 3:30 p.m. IST. The meeting was conducted virtually through Video Conferencing (VC)/Other Audio Visual Means (OAVM), adhering to the applicable provisions of the Companies Act, 2013, and relevant circulars.

Key Resolutions Approved

Shareholders transacted several crucial items of business during the AGM. Under ‘Ordinary Business’, the following resolutions were approved:

  • Adoption of the Audited Standalone Financial Statement for the financial year ended March 31, 2026, along with the reports of the Board of Directors and Auditors.
  • Adoption of the Audited Consolidated Financial Statement for the financial year ended March 31, 2026, along with the Auditors’ report.
  • Declaration of a Final Dividend of ₹8.5 per equity share of the face value of ₹2 each for the financial year ended March 31, 2026.
  • Re-appointment of Mr Rajiv R Lulla as a Director, liable to retire by rotation.

In ‘Special Business’, shareholders also approved the following:

  • Approval of remuneration payable to Narasimha Murthy & Co, Cost Accountants, as Cost Auditors for the financial year ended March 31, 2027.

Meeting Conduct and Voting

The meeting commenced with the Chairman welcoming the members. The Statutory Registers and other documents were made available for electronic inspection. A remote e-voting facility was provided to shareholders through NSDL, and members present at the AGM could cast their votes electronically. The consolidated voting results, encompassing both remote e-voting and voting at the AGM, along with the Scrutiniser’s Report, will be disseminated to the stock exchanges and posted on the company’s website. All resolutions presented at the AGM were transacted and approved by the shareholders with the requisite majority. The meeting concluded at 5:05 p.m. IST.
