Bharti Airtel: Subsidiary Nxtra Data Acquires Stake in Data Centre Entities

Strategic Expansion in Data Centres

Bharti Airtel announced on August 6, 2026, that its subsidiary, Nxtra Data Limited, has entered into agreements to acquire stakes in two new entities: Rochak Systems Private Limited (‘Rochak’) and Rovision Tech Hub Private Limited (‘Rovision’). The acquisition will be for up to 85% stake in each company, to be completed in one or more tranches.

Target Entities and Business Focus

Both Rochak and Rovision were incorporated in May 2025 and are poised to develop land for data center construction. As they are recently established, they are yet to commence commercial operations. This acquisition aligns with Nxtra Data’s strategy to bolster its presence and capabilities in the rapidly growing data center market.

Deal Rationale and Terms

The acquisition is driven by Nxtra Data’s objective to expand its data center business. The consideration for the acquisition will be in the form of cash, although specific valuation details are being kept confidential due to commercial reasons. The transaction is structured to occur at arm’s length, ensuring fair market value. The acquisition does not fall within the purview of related party transactions at this stage, though any future tranches will also adhere to arm’s length principles.

Regulatory Filings and Disclosure

The disclosure regarding these agreements has been made in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
