BEML Limited Annual Secretarial Compliance Report for FY 2025-2026

BEML Limited has submitted its Annual Secretarial Compliance Report for the financial year ending March 31, 2026. The report, verified by independent practicing company secretaries, provides a comprehensive overview of the company’s governance status. While the company maintains high standards in policy adoption and website transparency, it has disclosed specific challenges regarding the appointment of independent directors and board diversity, for which it is actively engaging with the government to ensure full regulatory alignment.

Governance and Compliance Overview

BEML Limited remains committed to maintaining high standards of corporate governance. The company’s compliance framework for the fiscal year 2025-2026 reflects a robust adoption of industry policies and timely updates as required by the board of directors. The organization successfully maintains a functional website and ensures the accurate dissemination of all mandatory corporate information to stakeholders.

Challenges in Board Composition

During the fiscal year, BEML faced specific challenges concerning board composition and the appointment of independent directors. As a government-controlled entity, the appointment process for directors lies with the Ministry of Defence. During the 2025-2026 period, the company experienced a temporary shortage of independent directors, which impacted committee structures for a brief window of 16 days. The company is actively coordinating with the Ministry to fill these vacancies and ensure the appointment of a woman director to its board.

Financial and Administrative Impact

Due to the aforementioned delays in board appointments, the company incurred penalties amounting to ₹39.91 lakh (including taxes) imposed by stock exchanges for the first three quarters of the year. BEML is currently engaged in formal discussions with the stock exchanges, providing necessary clarifications and requesting a waiver of these penalties given that the appointment process is outside the direct management control of the company. Management continues to follow up at regular intervals with the Ministry to resolve these structural vacancies and ensure future compliance.
