Consequently, he will also step down as Chairman of the Company, member of the Audit Committee, Corporate Social Responsibility & Environmental, Social and Governance Committee, and Chairman of the Stakeholders’ Relationship Committee on the same date. New Independent Director Appointed
In a related development, Mr. Ravi Moti Kirpalani (DIN: 02613688) has been appointed as an Additional Independent Director. This appointment is effective from September 01, 2026, and will be for a term of five consecutive years, concluding on August 31, 2031. This appointment was recommended by the Nomination and Remuneration Committee and approved by the Board, subject to shareholder approval.
Mr. Ravi Kirpalani’s Profile
Mr. Kirpalani is an Independent Director with over four decades of experience across sales, marketing, strategy, business transformation, and corporate leadership in large, listed, and multinational organizations. Previously, he served as Managing Director and CEO of Thyssenkrupp India Pvt. Ltd. from March 2016 to March 2021, overseeing strategic direction for the company’s Indian operations. Prior to that, he was Managing Director of Castrol India Ltd. from May 2009 to February 2016.
His experience also includes roles at Reckitt Benckiser and advisory positions on the boards of various companies, including Foseco India Ltd., Greaves Cotton Limited, and Versuni India Home Solutions Ltd. Mr. Kirpalani is not related to any existing Director of Bayer CropScience and is not debarred from holding a director position by any regulatory authority.
