The company has received its certificate of incorporation from the Registrar of Companies and aims to act as a regulated pension fund manager.

Bank of Baroda has officially incorporated a new wholly-owned subsidiary named “BOB Pension Fund Management Company Limited”. This development marks a significant step for the bank as it ventures into the specialized field of pension fund management. The incorporation was completed on September 21, 2026, and the company has received its certificate from the Registrar of Companies, Ministry of Corporate Affairs.

Strategic Focus and Operations

The newly formed entity is established to operate as a pension fund manager, regulated by the PFRDA (Pension Fund Regulatory and Development Authority). Its primary objectives include receiving contributions, accumulating assets, investing funds, managing pension assets, and disbursing benefits to subscribers and beneficiaries. The bank’s initial subscription to the subsidiary totals INR 80,09,99,500, representing 80.10% shareholding through the acquisition of 8,00,99,950 equity shares.

Regulatory Approvals and Future Outlook

The incorporation process involved obtaining necessary approvals, including a letter of appointment as a sponsor from PFRDA on May 5, 2026, and approval from the RBI on July 10, 2026, for the establishment of this new venture. The company’s authorized share capital stands at INR 100.00 Crore. As the company has been recently incorporated and is yet to commence commercial operations, its historical financial information is not applicable.

The estimated cost of this strategic acquisition and incorporation is INR 80,09,99,500. The company is expected to commence business operations following its recent incorporation. This expansion is anticipated to bolster Bank of Baroda’s presence in the broader financial services ecosystem.
