Arnold Holdings Limited has disclosed that its promoters, PAWANKUMAR NATHMAL MALLAWAT and ALLWIN SECURITIES LTD, have acquired an aggregate of 35,55,500 equity shares, representing 14.96% of the total voting share capital. This transaction, executed via Share Purchase Agreements dated September 8, 2026, was conducted at a price of Rs. 12.00 per share. The acquisition triggers an mandatory open offer to the public shareholders of the Company, as per SEBI regulations.

Arnold Holdings Limited has announced a significant change in its shareholding structure. Two entities, identified as Acquirer 1 (PAWANKUMAR NATHMAL MALLAWAT, a promoter) and Acquirer 2 (ALLWIN SECURITIES LTD), have collectively purchased 35,55,500 fully paid-up equity shares. These shares represent 14.96% of the total voting share capital of Arnold Holdings Limited. The acquisition was finalized through two separate Share Purchase Agreements (SPAs) executed on September 8, 2026.

Transaction Details and Pricing

The shares were sold by two non-promoter entities: HARIVARDHAN ENTERPRISES PVT LTD and KHATTU HOSPITALITY PVT LTD. The transaction price was set at a uniform rate of Rs. 12.00 per equity share. Acquirer 1, PAWANKUMAR NATHMAL MALLAWAT, is a promoter of Arnold Holdings, and Acquirer 2 is a company related to the promoter. Mr. Pawankumar Nathmal Mallawat already held 6,00,000 shares in the company prior to this transaction.

Triggering an Open Offer

As a direct consequence of this substantial acquisition, the Acquirers are now obligated to make an Open Offer to the public shareholders of Arnold Holdings Limited. This requirement is in accordance with the applicable provisions of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The company has provided detailed disclosures regarding these transactions as required by SEBI LODR Regulations.

Impact on Management and Control

The Share Purchase Agreements do not confer any special rights on the Acquirers, such as the right to appoint directors or restrict changes in the company’s capital structure. Importantly, the acquisition is not expected to result in any change in the management or control of Arnold Holdings Limited. The agreement primarily covers the sale and purchase of the shares and includes customary conditions precedent and representations.
