Apollo Hospitals Enterprise Limited Intimation of NCLT-Convened Meetings

Apollo Hospitals Enterprise Limited has announced that the National Company Law Tribunal (NCLT) has directed the company to convene meetings for its secured creditors, unsecured creditors, and equity shareholders. These meetings are part of the process to consider and approve the Composite Scheme of Arrangement involving Apollo Hospitals Enterprise Limited, Apollo Healthco Limited, Keimed Private Limited, and Apollo Healthtech Limited. The meetings are scheduled to be held on June 24, 2026.

Meeting Schedule

The company has confirmed that the meetings will take place on June 24, 2026, to address the Composite Scheme of Arrangement. The sessions are timed as follows: 10:00 a.m. for Secured Creditors, 11:00 a.m. for Unsecured Creditors, and 2:30 p.m. for Equity Shareholders. All meetings will be conducted in a virtual mode via VC/OAVM.

Purpose and Governance

The objective of these meetings is to consider and potentially approve the arrangement embodied in the Composite Scheme, which involves the demerger and restructuring of the specified entities. The Hon’ble NCLT, Chennai Bench, has appointed Dr. K. S. Ravichandran as the Chairperson to oversee the proceedings of these meetings, and Mr. S. Vedhavel has been appointed as the Scrutinizer to manage the electronic and remote voting processes.

Voting and Participation

The company has provided facilities for both remote e-voting and electronic voting at the meetings. Remote e-voting is scheduled to commence on June 20, 2026, at 9:00 a.m. and will conclude on June 23, 2026, at 5:00 p.m. The cut-off date for determining shareholder eligibility for voting is June 17, 2026, while the cut-off for creditors is December 31, 2025. Shareholders and creditors are advised that the scheme remains subject to final sanction by the NCLT following the outcome of these meetings.
