The meeting, conducted virtually through video conference, saw shareholders overwhelmingly approve all eight resolutions put forth by the company’s board. This widespread approval underscores strong shareholder confidence in the company’s leadership and strategic direction.

Key Resolutions Passed

Ordinary Business

Shareholders adopted the audited standalone and consolidated financial statements for the financial year ended March 31, 2026. Additionally, resolutions concerning the confirmation of interim dividend and the declaration of a final dividend for the same financial year were also passed. The re-appointment of directors in place of those retiring by rotation, including Smt. Sangita Reddy and Dr. Prathap C Reddy, received shareholder approval.

Special Business

Significant approvals were also granted for special business items. The re-appointment of Dr. Prathap C Reddy as Executive Chairman for a further period of two years, effective June 25, 2026, was confirmed. Similarly, the re-appointment of Ms. Rama Bijapurkar as an Independent Director for a second term of five years, commencing November 12, 2026, was approved. A crucial resolution to offer or invite subscriptions for secured/unsecured redeemable non-convertible debentures aggregating up to ₹7,500 million on a private placement basis was also passed. Finally, the ratification of the remuneration of the Cost Auditor for the year ending March 31, 2027, was also approved.

For the ordinary resolutions, an overwhelming majority of votes were cast in favour. The special resolutions, requiring a higher voting threshold, also passed comfortably. For instance, Resolution 5 (Re-appointment of Dr. Prathap C Reddy) saw 96.975% of votes in favour, while Resolution 7 (Debenture issuance) garnered 98.872% in favour. The meeting commenced at 10.15 AM IST and concluded at 12.04 PM IST, with e-voting facilities remaining open for a period post-meeting.
