Amber Enterprises India: Unclaimed Dividends and Shares to be Transferred to IEPF

Amber Enterprises India Limited is notifying shareholders that unclaimed dividends and associated shares, unpaid for seven years, will be transferred to the Investor Education and Protection Fund (IEPF). This action is in compliance with Section 124 of the Companies Act, 2013. Shareholders who have unpaid dividends are urged to claim them before December 8, 2026, to prevent their shares from being transferred to the IEPF.

Intimation Regarding Unclaimed Dividends and Shares

Amber Enterprises India Limited has issued an intimation regarding the mandatory transfer of unclaimed dividends and associated equity shares to the Investor Education and Protection Fund (IEPF). This action is being taken in accordance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Section 124 of the Companies Act, 2013.

Reason for Transfer

As per the stipulated regulations, any dividend that remains unpaid or unclaimed for a period of seven years from its transfer to the Unpaid Dividend Account of the Company must be transferred to the IEPF. Similarly, shares linked to these unpaid dividends are also subject to transfer to the IEPF Authority if the dividend remains unclaimed for seven consecutive years or more. The company has identified an interim dividend declared for the Financial Year 2019-20 that remains unpaid or unclaimed by certain shareholders.

Action Required by Shareholders

Shareholders who have unpaid/unclaimed dividends are strongly advised to claim them immediately to avoid the transfer of their shares to the IEPF. To do so, they must submit the required documents to the Company or its Registrar and Share Transfer Agent (RTA) by December 8, 2026. The necessary documents include a self-attested copy of the PAN card and address proof, a passport copy for foreigners and NRIs, and a cancelled cheque with the name pre-printed for bank details. A Client Master List with an updated ECS mandate is also required.

Failure to claim the dividends by the specified deadline will result in the transfer of shares to the IEPF without further notice. It is important to note that no claim will lie against the Company for unpaid/unclaimed dividend amounts and shares transferred to the IEPF.

Claiming Transferred Dividends and Shares

Shareholders can still claim their unpaid/unclaimed dividend amounts and shares that have been transferred to the IEPF, along with any accrued benefits, by filing an application in Form IEPF-5 online. The signed physical copy of this form, along with the requisite documents, should be submitted to the Company’s registered office or its RTA for verification. Upon verification, an e-verification report will be sent to the IEPF Authority for the refund of the dividend and the transfer of shares back to the shareholder’s demat account.
