Rajendra Shantilal Shah has resigned as Director and Chairman effective from the close of business hours on April 20, 2026, citing personal commitments to philanthropy. Concurrently, the Board has appointed Malay Jayendra Dalal as an Additional Independent Director for a five-year term, and named Managing Director Bhadresh Kantilal Shah as the new Chairman of the company, effective April 21, 2026.

Board Leadership Restructuring

Rajendra Shantilal Shah, who has served as the Director and Chairman since July 31, 2007, has stepped down from his roles to focus on his extensive involvement in philanthropic activities. His resignation takes effect from the close of business on April 20, 2026.

New Appointments

Following the resignation, the company has implemented a succession plan. Bhadresh Kantilal Shah, who currently serves as the Managing Director, will assume the position of Chairman of the Board effective April 21, 2026. Additionally, the company has strengthened its board with the appointment of Malay Jayendra Dalal as an Additional Director (Independent) for an initial term of 5 years, concluding on April 19, 2031, subject to shareholder approval.

Malay Jayendra Dalal brings over 35 years of professional experience as a Fellow Chartered Accountant. His background includes serving as a trusted advisor to a wide range of domestic and multinational corporations, banks, and government entities, particularly in tax consultancy and audit roles. He has also been actively engaged in international outsourcing activities for the past 25 years, offering deep expertise to the organization’s governance structure.
